DIR-12 Director Appointment & Resignation 2026: DSC Rules, Deadline & Common Errors
Published October 28, 2026 · By DSCKart
When a company appoints or loses a director, it must tell the Registrar. The notice is filed on the MCA portal and signed digitally. This guide covers the DSC side of that filing.
What is Form DIR-12?
DIR-12 is the MCA21 form a company uses to report the appointment, resignation, change in designation or change in particulars of its directors and key managerial personnel.
It is generally due within 30 days of the change. Confirm the exact scope and timing on the MCA portal, since the form and its triggers can change.
Who signs DIR-12 with a DSC?
An authorised officer of the company, usually a director, signs the form with their own Class 3 DSC, and a practising CA, CS or CMA certifies it with their own DSC where the form requires professional certification.
Each person signs with a certificate registered against their own profile — the signer's DSC cannot be substituted by another person's. See our DSC guide for CAs and the MCA / ROC filing guide.
What documents are usually attached?
Attachments depend on the reason for filing and on what the form prompts for at the time. The usual ones are:
- The board resolution or circular resolution authorising the change.
- Consent to act as director (Form DIR-2) for an appointment.
- The resignation letter for a resignation.
- Any other proof the form asks for in the specific case.
Attachments vary by case, so follow the prompts in the form rather than a fixed checklist.
What happens if the 30-day deadline is missed?
The form can still be filed after the window, but additional fees apply under the MCA fee rules, and those fees increase with the length of the delay.
The current fee schedule is on the MCA portal, so check it there before filing late rather than relying on a remembered figure.
How does a new director get a DSC?
A director who holds a DIN can obtain a Class 3 individual DSC by submitting identity and address proof, typically Aadhaar and PAN, and completing Video KYC.
The steps are covered in our guide to applying for a DSC online. New issuances and renewals are stored on FIPS 140-3 tokens. For directors who are not resident in India, see the foreign directors verification guide.
What common errors block DIR-12 signing?
Most signing failures come from the certificate, its registration, or the person applying it.
- An expired DSC.
- A DSC not registered on the MCA21 V3 profile of the person signing.
- A name or PAN mismatch between the certificate and the company records.
- The token not being detected or emSigner not running — see common DSC errors and fixes.
- The wrong person signing — the signer must be an authorised officer.
If a certificate is close to expiring, renew it first and register the new certificate before filing.

Frequently Asked Questions
What is Form DIR-12 and when is it due?
DIR-12 is the MCA form a company files to notify the Registrar of the appointment, resignation or change in particulars of directors or key managerial personnel. It is generally due within 30 days of the change; late filing attracts additional fees.
Does DIR-12 need a DSC?
Yes. The form is signed digitally by an authorised officer of the company, such as a director, and is certified by a practising professional (CA, CS or CMA) where the form requires it. Both sign with their own Class 3 DSC.
Does a newly appointed director need a DSC before DIR-12 is filed?
A new director typically needs a DIN and a Class 3 DSC to sign MCA documents going forward. Whether the DSC must exist before the DIR-12 itself is filed depends on the appointment route and the current MCA instructions, so confirm on the MCA portal or with your professional.
What is Form DIR-11 and who files it?
DIR-11 is the notice a resigning director can file with the Registrar. The company separately files DIR-12 for the resignation. Confirm current requirements on the MCA portal.
Can a Class 2 DSC be used?
No. Class 2 is no longer issued, so use a valid Class 3 DSC.
Do I need to re-register my DSC after renewal?
Yes, if the certificate changes. Register the new certificate on the MCA portal before signing.
